Terms of Service

These terms govern your application for and participation in the AI Diagnostic Review. By applying, you agree to these terms. If you don't agree, don't apply.
1. What This Is (And Isn't)
This is: A diagnostic service where we assess your AI initiative's current state, identify blockers, and provide clear recommendations on next steps.
This is not: Implementation, transformation consulting, vendor selection, or ongoing advisory (unless separately agreed). The diagnostic is a standalone evaluation.
Our role: We are diagnosticians, not implementers. We tell you what's real, what's blocking you, and what to do next. Execution decisions are yours.
2. Application ≠ Acceptance
Applying does not guarantee a diagnostic. We review all applications to assess fit. Reasons for declining may include:
- Company size or revenue doesn't match our focus (typically $50M+ annual revenue)
- Scope is outside our expertise (we focus on AI production readiness, not R&D or theoretical strategy)
- Timing or capacity constraints
- Unclear decision authority or budget
If declined, we'll notify you within 48 hours. No explanation is required, though we may provide one.
3. The Diagnostic Process
If accepted, the diagnostic typically involves:
- A 25-minute structured conversation (phone, video, or in-person)
- Review of any materials you provide (optional)
- Direct recommendations based on pattern recognition from 28 years of system-building experience
What you'll receive: Honest assessment of where you are, what's blocking you, and recommended next steps. No sugarcoating. No sales pitch.
What you won't receive: A written report, slide deck, or formal deliverable (unless separately agreed for a paid engagement).
4. Confidentiality
What you tell us stays private. Information shared during the diagnostic is confidential and will not be disclosed to third parties without your consent.
Exceptions:
- We may use anonymized patterns and insights for educational content (e.g., "A $500M retail company had 38 projects with no clear path to production")
- Your company name will never be used in marketing, case studies, or public materials without explicit written permission
- Legal requirements (subpoena, court order) may compel disclosure
5. No Guarantees, No Promises
We don't promise outcomes. We provide honest assessments based on 28 years of experience building critical systems. You may:
- Gain clarity on what's blocking you
- Understand your actual options
- Receive recommendations based on what we've seen work (and fail)
You may not: Get the answer you want, or an answer that's politically safe, or confirmation that your current path is correct. We tell you what's real, not what's comfortable.
Implementation is on you. We're not responsible for outcomes resulting from your decisions, even if they follow our recommendations.
6. Intellectual Property
Our methods, frameworks, and diagnostic processes belong to us. You may not:
- Record or transcribe the diagnostic without permission
- Reproduce our frameworks or methodologies for commercial use
- Share our recommendations with competitors or consultants without disclosure
Your information belongs to you. We don't claim ownership of your company data, strategies, or initiatives.
7. Payment & Fees
The AI Diagnostic Review is offered at our discretion. There is no charge unless explicitly agreed otherwise.
Paid engagements (Production Readiness Assessment, ongoing advisory) are governed by separate statements of work with specific terms, deliverables, and payment schedules.
8. Limitation of Liability
We're advisors, not guarantors. To the maximum extent permitted by law:
- We are not liable for business decisions you make based on our recommendations
- We are not liable for indirect, consequential, or punitive damages
- Our total liability (if any) is limited to the fees paid for services rendered
Translation: If you follow our advice and it doesn't work out, that's on you. If you ignore our advice and it goes badly, that's also on you. We provide assessments, not insurance policies.
9. Termination
Either party can walk away. You can cancel your application or end the diagnostic relationship at any time. We can decline applications or end the relationship at any time.
Reasons we might end the relationship: Misrepresentation during application, lack of decision authority, combative behavior, or violation of these terms.
10. Governing Law & Disputes
These Terms are governed by the laws of the State of Utah, United States.
Dispute resolution: If there's a problem, we'll try to resolve it directly. If that fails, disputes will be resolved through binding arbitration in Utah under JAMS rules, not litigation.
11. Changes to These Terms
We may update these Terms as our practice evolves. Material changes will be communicated to active clients. Continued use after changes constitutes acceptance.
